1. Introduction
Welcome to TROVE CODE PVT LTD. These Terms of Service govern your engagement with our company for bespoke software development, legacy system modernization, IT consulting, and access to our proprietary software products.
2. Services Provided
TROVE CODE provides a range of digital engineering services. Specific deliverables, timelines, and technical requirements for custom software projects will be defined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) executed between TROVE CODE and the client.
3. Intellectual Property Rights
Unless otherwise explicitly stated in a signed contract, the custom software, source code, and intellectual property developed specifically for a client will be fully transferred to the client upon final payment. However, TROVE CODE retains the right to reuse generic algorithms, utility libraries, and open-source frameworks integrated into the project.
4. Proprietary Platforms
Access to TROVE CODE's proprietary platforms is granted on a subscription or licensed basis. Customers do not acquire ownership of the underlying source code of these platforms, only a revocable license to use the service.
5. Client Responsibilities
Clients are expected to provide timely feedback, necessary API access, server credentials, and domain knowledge required for project execution. Delays in client deliverables may impact project timelines.
6. Payment Terms
Invoices for software development services are issued based on agreed milestones or monthly retainers. Payments are due within the timeframe specified on the invoice. TROVE CODE reserves the right to halt development or suspend platform access for overdue accounts.
7. Warranties and Limitation of Liability
TROVE CODE warrants that custom software will perform substantially in accordance with the agreed specifications for a standard warranty period (typically 30-60 days post-deployment). Beyond this period, maintenance requires an active support contract. In no event shall TROVE CODE be liable for indirect, incidental, or consequential damages.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from IT service contracts shall be subject to the exclusive jurisdiction of the courts in India.
