1. Introduction
Welcome to iSnagger, a product developed by TROVE CODE PVT LTD. These Terms of Service govern your access to and use of the iSnagger SaaS platform, website, mobile applications, and API services.
2. Definitions
"Company" refers to TROVE CODE PVT LTD. "Platform" refers to iSnagger. "Customer" refers to the entity or individual subscribing to the Platform. "User" refers to any individual granted access to the Platform by the Customer.
3. Acceptance of Terms
By accessing the Platform, you agree to be bound by these Terms. If you do not agree, you may not use our services.
4. Eligibility and Account Registration
You must be at least 18 years old to use the Platform. Customers are responsible for providing accurate information and maintaining the security of their accounts.
5. User Responsibilities
Users are responsible for maintaining account credentials. You must promptly notify us of any unauthorized access.
6. Authorized and Prohibited Use
You may use the Platform only for lawful business purposes. You agree not to use the Platform for any illegal activities or to upload malicious content.
7. Subscription Plans and Licensing
Access to the Platform is provided on a subscription basis. We grant you a limited, non-exclusive, non-transferable license to use the Platform during your subscription term.
8. Free Trials and Demonstrations
Free trials or demonstrations are provided "as is" without warranties. We reserve the right to terminate trials at any time.
9. Payment, Billing and Taxes
Customers agree to pay all applicable fees based on their subscription plan. Fees are exclusive of taxes, which will be billed appropriately according to local regulations.
10. Subscription Renewals
Subscriptions automatically renew unless canceled prior to the renewal date. Notice of any price changes will be provided in advance.
11. Cancellation and Termination
You may cancel your subscription at any time. We may terminate or suspend access immediately for material breaches of these Terms.
12. Refund Policy
Except as required by law, all subscription fees are non-refundable. No prorated refunds are provided for partial usage.
13. Intellectual Property Rights
The Company retains full ownership of the software, source code, branding, design, architecture, workflows, and intellectual property. No transfer of ownership is implied.
14. Customer Data Ownership
Customers retain full ownership of all data uploaded to the platform, including projects, inspections, and files.
15. Company Ownership of Software and Technology
All technology powering iSnagger belongs exclusively to TROVE CODE PVT LTD. You may not claim ownership over any part of the Platform.
16. User Content, Uploaded Files and Attachments
You are solely responsible for the content you upload, including ensuring it does not violate any laws or third-party rights.
17. Data Backup and Retention
We perform regular backups; however, customers are advised to maintain their own archives. Upon termination, data may be permanently deleted after a grace period.
18. Cloud Hosting and Storage
The Platform utilizes enterprise-grade cloud hosting. Data is stored securely and we may use anonymized and aggregated data for analytics, benchmarking, and service improvement.
19. Mobile Application Usage
Our mobile applications are provided under these identical terms. You must comply with any applicable third-party app store rules.
20. Offline Data Synchronization
The Platform offers offline capabilities. Data captured offline will synchronize once connectivity is restored. We are not liable for data loss during unsynced periods.
21. API Access and Integrations
API access is subject to rate limits and fair use policies. We reserve the right to revoke API access if it degrades platform performance.
22. Third-Party Services
The Platform may integrate with third-party services. We are not responsible for the availability, security, or functionality of external systems.
23. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the business relationship.
24. Security Responsibilities
We implement industry-standard security measures. Customers are responsible for obtaining any legally required approvals before storing personal, project, inspection, or operational data on the platform.
25. Service Availability and Maintenance
Service availability targets are best-effort unless separately defined in a Service Level Agreement (SLA). We reserve the right to perform scheduled maintenance.
26. Support Services
Technical support is provided based on your subscription tier. Response times may vary.
27. Acceptable Use Policy
Users must act professionally and ethically on the platform. Harassment, data scraping, or deploying malicious code is strictly prohibited.
28. Restrictions on Reverse Engineering
You may not reverse engineer, decompile, copy, resell, or attempt to extract source code from the Platform.
29. Suspension of Accounts
The company reserves the right to suspend accounts involved in illegal, fraudulent, abusive, or security-threatening activities without prior notice.
30. Limitation of Liability
The company is not liable for indirect, incidental, consequential, business interruption, profit loss, or data loss damages arising out of your use of the Platform.
31. Indemnification
You agree to indemnify and hold harmless TROVE CODE PVT LTD from any claims, damages, or legal fees resulting from your violation of these Terms.
32. Warranty Disclaimer
The Platform is provided "as is" without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.
33. Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or government actions.
34. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
35. Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the issue through good-faith negotiations before pursuing litigation.
36. Changes to Terms
We may modify these Terms at any time. Continued use of the Platform after changes have been posted constitutes your acceptance of the revised Terms.
